Terms of Service – baseplan.ai
1. Who we are. baseplan.ai (“the Service”) is operated by Etrog (“Etrog”, “we”, “us”), a sole proprietorship (Osek Murshe) registered in Israel, 139 Keren Kayemet LeIsrael St., Be'er Sheva, Israel, info@baseplan.ai. Full details are on the company details page.
2. Who these terms bind. These terms are an agreement between Etrog and the business that opens an account (“the Customer”). The person who opens the account or accepts these terms confirms that they may bind the Customer. Users the Customer invites act on the Customer's behalf, and the Customer is responsible for them. The Service is for businesses and professionals only. It is not offered to consumers or to anyone under 18.
3. The Service. The Service reads structural plans and models with rules and artificial intelligence (AI). It produces formwork and shoring layouts, drawings, calculation reports, quantities, models and related outputs (“Outputs”). We may change, improve or discontinue features. If we remove a material paid feature, we will give reasonable notice.
4. Professional responsibility. The Outputs are an aid to a qualified engineer. They do not replace professional design, checking or site supervision. Automatic reading and AI can be wrong. The Customer must check every Output, including geometry, loads, spacings, equipment and quantities. The Customer must have it approved by a qualified professional before use. The Customer must also follow the standards, regulations and supplier instructions that apply at the site. Responsibility for the design, the checking, the execution and the safety of the works rests with the Customer and its signing professional.
5. Accounts and security. Every user signs in personally, with two-step verification. Accounts and passwords must not be shared. The Customer must keep its sign-in details secure and tell us at once of any unauthorised use at support@baseplan.ai. The Customer's administrators manage users, roles and company settings.
6. Customer content. The files the Customer uploads (“Customer Content”) remain the Customer's, as do the Outputs made from them. Some of them may belong to third parties. The Customer confirms that it has the rights and permissions to upload Customer Content for processing. The Customer grants Etrog a limited licence to host, copy, convert and process Customer Content, only to provide and secure the Service for the Customer. When we process personal data in Customer Content, we do so as the Customer's processor under the Data Processing Agreement. The DPA forms part of these terms.
7. Learning and improvement.
- Within the company: corrections, answers and preferences of the Customer's users improve later results for that Customer only. They are not passed to other customers.
- Non-identifying operational signals: we collect technical data on how the Service works. This includes the error type, the stage, the file type, the field corrected, and a numeric value before and after a correction. These signals contain no plans, no text from plans, and no file, project or person names. We use them to improve the Service. The Customer's administrator can turn them off in the company profile.
- Projects as test cases: only with the Customer's explicit and separate consent, which can be withdrawn.
We do not train general AI models on Customer Content, and we do not allow our AI providers to do so.
8. Acceptable use. The Customer must not: upload content it has no right to use, or unlawful or malicious content; try to break, probe or overload the Service or reach another customer's data; reverse engineer the Service, except where the law allows it; resell or share access outside the Customer's own organisation; or use the Service to build a competing product.
9. Plans, credits and payment. The Service is offered in subscription plans that renew monthly. Each plan includes a number of credits for each billing period. Processing actions, such as reading, planning and building drawings, use credits at the rates shown in the Service. Credits included in a plan expire at the end of their billing period. Top-up credits bought separately do not expire. Credits have no cash value and cannot be transferred. The prices and what each plan includes are shown on the prices page and at checkout.
10. Paddle, our reseller. Our order process is run by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle sells the plans and credits to the Customer, charges the payment, adds sales tax or VAT where it applies, and issues the invoices. Paddle's own buyer terms also apply to the purchase. We never see or store card details.
11. Renewal, failed payments and cancellation. A plan renews automatically every month until it is cancelled. The Customer's administrator can cancel at any time. The plan then ends at the end of the current billing period, and no further charges are made. If a renewal payment fails, paid processing pauses after a 14-day grace period until payment succeeds. Viewing and downloading continue, and nothing is deleted because of a failed payment. Refunds follow the Refund Policy.
12. Availability and support. We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. Planned maintenance is announced where practical. Support is available at support@baseplan.ai.
13. Confidentiality. Each party keeps the other's non-public information confidential. It uses that information only for this agreement, except where disclosure is required by law.
14. Intellectual property. Etrog owns the Service: its software, rules, engine, templates and documentation. The Customer receives a non-exclusive, non-transferable right to use the Service during its subscription. The Customer may use the Outputs freely for its projects. Feedback the Customer gives may be used to improve the Service.
15. Disclaimer. To the fullest extent the law allows, the Service and the Outputs are provided “as is” and “as available”. No warranty is given that they are fit for a particular purpose, complete or free of errors. This does not limit section 4.
16. Limitation of liability. To the fullest extent the law allows, Etrog is not liable for indirect, incidental, special or consequential damages. This includes loss of profit, revenue, data, business or goodwill, and delay, damage or injury on a construction site that results from using Outputs without the professional check described in section 4. Etrog's total liability arising from the Service in any 12-month period is limited to the fees the Customer paid for the Service in that period. Nothing in these terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.
17. Indemnity. The Customer will compensate Etrog for third-party claims that arise from the Customer Content, from a breach of section 8, or from the Customer's use of Outputs in breach of section 4.
18. Suspension and termination. We may suspend access to stop a security threat, an unlawful use, or a serious or repeated breach of these terms. Where practical, we will give notice first. Either party may end the agreement: the Customer by cancelling its plan and closing the account, and Etrog with 30 days' notice, or at once for a material breach. After termination, the Customer can export its Outputs for 30 days. After that, Customer Content is deleted as set out in the Privacy Policy and the DPA.
19. Changes to these terms. We may update these terms. For material changes, we will give at least 30 days' notice by e-mail or in the Service. Users are asked to accept the new version when they next sign in. If the Customer does not accept a change, it may cancel before the change takes effect.
20. Law and courts. These terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv-Jaffa have exclusive jurisdiction. Mandatory rights that the law of the Customer's country grants and that cannot be waived by agreement are not affected.
21. General. These terms, the DPA, the Privacy Policy and the Refund Policy are the whole agreement on the Service. If a provision is invalid, the rest remains in force. Neither party may assign this agreement without the other's consent, except to a successor of its business. The English text prevails over any translation.
